QVL Models
This document is a structured starting draft prepared for QVL Models, Inc. and has not been reviewed by a licensed attorney. It must be reviewed by qualified counsel in every jurisdiction where QVL Models, Inc. operates before being relied upon as a binding agreement with real clients.
By creating an account with QVL Models, Inc. ("QVL", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a binding contract to use the QVL app or website (the "Service"). If you do not agree to these Terms, do not use the Service.
QVL offers two categories of product: (a) an App tier subscription that governs the features and functionality available to you within the QVL app, including connecting a brokerage account; and (b) Signal subscriptions, which give you access to informational trade signals and rationale generated by QVL's quantitative models for specific underlyings or strategies.
Signal subscriptions are subject to review and approval by QVL staff before activation, even after payment is received. App tier upgrades activate automatically upon successful payment.
Nothing provided through the Service — including signals, rationale, model output, or any other content — constitutes personalized investment advice, a recommendation, or an offer or solicitation to buy or sell any security or financial instrument. QVL Models, Inc. is not registered as an investment adviser, broker-dealer, or similar regulated entity in any jurisdiction, and nothing in the Service creates a fiduciary relationship between you and QVL. You are solely responsible for evaluating and acting on any information provided, and you should consult a licensed, independent financial advisor before making investment decisions.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current information during registration and to promptly update it if it changes. Notify us immediately of any unauthorized use of your account.
Paid subscriptions (App tier and Signal subscriptions) bill on a recurring basis (monthly or annual, as selected) until cancelled. By subscribing, you authorize us to charge your chosen payment method automatically at the start of each billing period.
You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period, and no partial refunds are issued for the remainder of a paid period except where required by applicable law. We may change subscription pricing on prospective billing cycles with advance notice.
Some Signal subscription purchases include a complimentary upgrade to a specified App tier for as long as that Signal subscription remains active, as described on the pricing page at the time of purchase.
You agree not to: redistribute, resell, or publicly share signals or model output obtained through the Service; attempt to reverse-engineer or extract the underlying models or methodology; use the Service in a way that violates applicable law; or interfere with the Service's normal operation.
The Service may allow you to connect a brokerage account via third-party providers (such as Plaid or SnapTrade). Your use of those providers is governed by their own terms. QVL is not responsible for the acts, omissions, availability, or performance of any third-party broker or data provider.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SIGNAL OR MODEL OUTPUT WILL BE ACCURATE OR PROFITABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QVL MODELS, INC. AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR TRADING LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless QVL Models, Inc. from any claims, losses, or damages, including reasonable legal fees, arising from your trading decisions, your breach of these Terms, or your misuse of the Service.
We may suspend or terminate your account at our discretion, including for suspected violation of these Terms. You may close your account at any time. Termination does not entitle you to a refund of fees already paid, except where required by law.
These Terms are governed by the laws of the jurisdiction in which you reside, without regard to conflict-of-law principles, except where superseded by the regional terms below.
Additional Terms for U.S. Clients:
If you reside in the United States, any dispute will be resolved through binding individual arbitration, and you waive any right to participate in a class action, to the extent permitted by the law of your state of residence.
Additional Terms for Canadian Clients:
If you reside in Canada, disputes will be resolved in the courts of your province of residence. Nothing in these Terms limits any right you may have under applicable provincial consumer protection legislation, including any limits on mandatory arbitration or class-action waivers.
We may update these Terms from time to time. If a change is material, we will ask you to re-accept the updated Terms before continuing to use the Service.
